These Terms of Service ("Terms") govern your access to and use of the website brightsolutionbali.com (the "Website") and any consultation, enquiry, or service engagement with Bright Solution Bali ("Bright Solution," "we," "us," or "our"). By accessing the Website or engaging our services, you ("you," "Client," or "User") agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.

1.About Bright Solution Bali

Bright Solution Bali is a privately owned business consulting firm established in 2019 and based in Bali, Indonesia, at Jl. Mertanadi No.31, Kerobokan Kelod, Kec. Kuta Utara, Kabupaten Badung, Bali 80361.

Important disclosure

Bright Solution Bali is an independent private consulting company. We are not a government institution, and we do not represent, are not affiliated with, and are not authorised on behalf of the Government of the Republic of Indonesia, including the Directorate General of Immigration (Ditjen Imigrasi), the Directorate General of General Legal Administration (Ditjen AHU), the Directorate General of Taxes (DJP), the Online Single Submission (OSS) system, or any other government body. Our role is limited to providing advisory, administrative, and facilitation services. All government documents, licenses, permits, and approvals — including but not limited to company registration numbers, business licenses, KITAS, and tax identification numbers — are issued exclusively by the relevant Indonesian government authority, at that authority's sole discretion, in accordance with prevailing Indonesian law and regulation.

2.Description of Services

Subject to a separate service agreement or written quotation, we provide advisory and administrative support in relation to:

  • Company establishment (PT PMA and PT Lokal) and related corporate compliance;
  • Visa and KITAS application assistance;
  • Tax reporting, bookkeeping, and accounting compliance;
  • Legal advisory services related to business and property matters in Indonesia; and
  • Property and villa management, and property agency services, offered through our affiliated website brightsolutionproperty.com.

The specific scope, deliverables, timeline, and fees for any paid engagement will be set out separately in a quotation, proposal, or service agreement agreed with you in writing before work begins. General service descriptions and starting prices shown on the Website are indicative only and may vary depending on your specific circumstances.

3.Nature of Our Services & No Guarantee of Government Approval

Where our services involve an application, filing, registration, or submission to an Indonesian government authority (including but not limited to company registration, business licensing, visa, KITAS, or tax matters), you acknowledge and agree that:

  • The relevant government authority has sole and final discretion to approve, reject, delay, or request additional information for any application, regardless of the completeness or quality of the submission we help prepare;
  • We do not guarantee approval, a specific outcome, or a specific processing time, as these are determined by the relevant authority and by changes in prevailing law and regulation that are outside our control;
  • Processing times communicated to you are estimates based on our experience and current regulatory practice, and may change without notice; and
  • We will act with reasonable professional care and diligence in preparing and submitting your application, and will keep you informed of material developments known to us.

4.Use of the Website

You agree to use the Website only for lawful purposes. You must not:

  • Use the Website in any way that could damage, disable, overburden, or impair it;
  • Attempt to gain unauthorised access to any part of the Website, related systems, or networks;
  • Use any automated system (bots, scrapers, crawlers) to access the Website without our prior written consent; or
  • Submit false, misleading, or fraudulent information through any form on the Website.

We may suspend or restrict access to the Website, in whole or in part, at any time, with or without notice, including for maintenance, security, or policy-compliance reasons.

5.Consultations & Bookings

The Website allows you to request a free consultation by submitting your details and preferred date, time, and consultation type (phone or office). Submitting a booking request does not create a binding service engagement; it is an invitation for us to contact you to discuss your needs. A consultation may be rescheduled by either party by mutual agreement, subject to availability.

6.Engagement of Paid Services

A binding engagement for paid services begins only once you have accepted a written quotation, proposal, or service agreement provided by us, or otherwise confirmed your instruction to proceed together with any required deposit or payment. These Terms apply in addition to, and do not replace, the specific terms of that service agreement; in the event of a conflict, the service agreement will prevail for the matters it specifically covers.

7.Fees & Payment

Fees for paid services will be communicated to you in a written quotation before work begins. Prices shown on the Website (e.g. "starts from") reflect the minimum fee for the most straightforward version of that service and may increase depending on the complexity of your case, the number of applicants, or additional requirements identified during the engagement. Government fees, notary fees, translation fees, and other third-party costs are separate from our professional fees unless expressly stated otherwise, and will be disclosed to you in advance where known. Payment methods and schedules (e.g. deposit and balance) will be set out in your service agreement or invoice.

8.Cancellations & Refunds

Cancellation and refund terms depend on the stage of work already performed and any third-party or government fees already incurred on your behalf, and will be set out in your specific service agreement. As a general principle, fees for work already performed and costs already paid to third parties or government authorities on your behalf are non-refundable. Where a service cannot proceed for reasons outside your control, we will work with you in good faith on a fair resolution.

9.Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete, and truthful information and documentation;
  • Respond to our requests for information or documents in a timely manner;
  • Comply with applicable Indonesian laws and regulations relevant to your matter; and
  • Promptly inform us of any change in circumstances that may affect your application or engagement.

We are not responsible for delays, rejections, or additional costs arising from inaccurate, incomplete, or late information or documentation provided by you.

10.Confidentiality

We treat information and documents you share with us as confidential and will handle them in accordance with our Privacy Policy. We will not disclose your confidential information to third parties except as necessary to deliver the services you have engaged us for, as described in our Privacy Policy, or as required by law.

11.Testimonials & Reviews

Testimonials and reviews published on the Website (including Google Reviews) reflect the individual experiences of specific clients. Results vary from case to case depending on individual circumstances, and past results shown do not guarantee similar outcomes for other clients.

12.Limitation of Liability

To the maximum extent permitted by applicable law, Bright Solution Bali shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from your use of the Website or our services, including loss of profit, business, or opportunity, except where such liability arises from our gross negligence or wilful misconduct. Our total liability arising out of or in connection with any paid service engagement shall not exceed the total professional fees paid by you for that specific engagement, unless otherwise required by mandatory applicable law.

13.Indemnification

You agree to indemnify and hold Bright Solution Bali harmless from any claim, loss, or liability arising from inaccurate or misleading information you provide to us, your breach of these Terms, or your violation of applicable law.

14.Force Majeure

We shall not be liable for any delay or failure to perform our obligations resulting from causes beyond our reasonable control, including but not limited to changes in law or regulation, government processing delays, natural disasters, or other events of force majeure.

15.Intellectual Property

All content on the Website, including text, graphics, logos, and design, is the property of Bright Solution Bali or its licensors and is protected by applicable intellectual property law. You may not copy, reproduce, or distribute content from the Website for commercial purposes without our prior written consent.

The Website may contain links to third-party websites, including government portals and social media platforms, provided for convenience. We do not control and are not responsible for the content, accuracy, or practices of these third-party sites.

17.Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, the dispute shall be subject to the jurisdiction of the competent courts in Badung Regency, Bali, Indonesia, or another forum specifically agreed in a written service agreement.

18.Termination

We reserve the right to decline, suspend, or terminate a service engagement, including where a client provides false information, fails to fulfil their responsibilities under Section 9, or where continuing the engagement would require us to act contrary to applicable law. Termination of a specific engagement will be handled in accordance with the terms of the related service agreement.

19.Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of the Website after changes take effect constitutes acceptance of the revised Terms.
